1、合作合同 合作合同甲乙雙方本著平等互利，協商一致的原則，就甲方授權乙方在指定區(qū)域經銷甲方產品的有關事宜，達成如下協議：第一條合同雙方保證自己是合法存在的法人組織，具有經營與經銷本合同 指定產品的資格，并互換《營業(yè)執(zhí)照》，《稅務登記證》等有關證件的復印件。第二條 代理銷售區(qū)域范圍1. 甲方授權乙方銷售甲方產品的行政區(qū)域為：奧地利；2. 乙方同意作為甲方在上述指定區(qū)域之代理商，并承諾全部履行本合同項下之義務。第三條 合作方式由甲方提供能源節(jié)

2、電技術產品，由乙方負責在奧地利進行推廣、銷售：a) 甲方提供的產品，應適于在奧地利銷售，并由締約雙方書面確定；b) 甲方對由自己提供的產品的使用，負責為乙方進行人員培訓；c) 甲方應在本合同規(guī)定的范圍內向奧地利 WT 或其指定的其它港口出口合作產品；d) 甲方應提供經乙方指定的優(yōu)質可銷的能源節(jié)電技術產品；e) ）根據本合同合作的產品應采用專門的商標，由乙方在奧地利獨家經銷；Cooperation ContractOn the basis

6、ustria;2. Party B agrees to be the agent in the area mentioned above and undertake all the obligations under this Contract.Article 3 Cooperation ModeParty A shall provide energy resources electricity power saving / conse

7、rvation technology products and Party B shall be responsible for the promotion and sales of the products:a) The products supplied by Party A shall be suitable for the sales in Austria and shall be confirmed by both parti

8、es hereto in written form;b) Party A shall be responsible for the training of the personnel of Party B for the use of the products supplied by Party A;c) Party A shall export the products to WT or other ports appointed b

9、y it within the scope as specified in this contract;d) Party A shall supply to the marketable resources electricity power saving / conservation technology products with high quality as specified by Party B;e) The product

10、s to be manufactured under this contract shall be specifically branded as being produced for the exclusive distribution by Party B in Austria;f) Party A shall have the exclusive rights to produce and supply the products

11、under this contract to Party B and Party B shall have the exclusive right to receive the products made by Party A under this contract. Party A shall not transact any business with 完成 萬元美元的年度銷售任務。2. 乙方應在合同生效后 ９０ 天內向乙方訂購不少

12、于 10 萬美元的貨物。此時，本條第 1 款成約定金中的 1 萬美元轉為預付款，按第九條不足部分的預付款仍應按第九條執(zhí)行。3. 剩余的 1 萬美元成約定金轉為第二次交易的預付款。4. 訂貨時乙方應向甲方指定辦事機構發(fā)出書面訂貨單，訂貨單應有乙方法定代表人簽名并加蓋公章。甲方收到訂貨單后確認該筆訂貨是否有效。如確認訂貨有效，則每份訂貨單及確認函均構成一份獨立有效的買賣合同，本合同有關付款方式，交貨等相關條款可視為對該獨立合同的有效補充。5

13、. 乙方書面訂貨單得到甲方確認后，乙方在收到甲方確認函后三天內支付貨款總額的 30％給甲方作為預付款，其余 70%須在甲方發(fā)貨前三天支付給甲方。付款日期均為貨款已到達甲方賬戶的日期。6.貨幣結算單位為美元。第七條 合作產品質量（1） 按照中華人民共和國標準執(zhí)行(中華人民共和國國家標準或部頒或企業(yè)具體標準)。 （2） 但乙方所要求生產的產品質量標準高于(1) 標準的, 乙方必須在甲方開始生產之前向甲方提出書面要求.（3） 在本合同期內，每

14、一批合作產品的數量和計量單位、計量方法、貨差規(guī)定及計算方法另行約定。第八條 交貨與運輸2. Within ninety (90) days upon and from the date on which this contract becomes effective, Party B shall purchase from Party A the products of at least 100 thousand USD. At tha

15、t time, the contract guarantee fund of ten thousand USD shall be converted into advance payment, and the lacking part according to article nine shall be subject to article nine.3. The remaining contract guarantee fund of

16、 ten thousand USD shall be converted as the advance payment of the second transaction.4. Party B shall send the written order to Party A, and the order shall be signed by the legal representative of Party B and stamped b

17、y common seal. Upon the receipt of the order, Party A shall confirm whether the order is valid. Where the order is valid, each order and letter of confirmation shall be an independent and valid sales contract. The paymen

18、t mode and delivery clauses as specified in this contract may be deemed as the valid addition of the independent contract.5. After the written order of Party B is confirmed by Party A, within three (3) days upon and from

19、 the receipt of the letter of confirmation from Party A, Party B shall pay to Party A 30% of the total payment for goods as advance payment; within three (3) days before the delivery of the goods by Party A, Party B shal

20、l pay the remaining 70% to Party A. The payment date shall be the date on which the payment arrives at the A/C of Party A.6. All transactions shall be conducted by USD.Article 7 Quality of Products1. According to the sta

21、ndard of the People's Republic of China (the specific standard of enterprises or issued by the Department or the People's Republic of China)2. Where Party B require that the quality of the products is higher than

22、 as specified in (1), Party B shall submit to Party A the written application before the production.3. Within the period of validity of this contract, the quantity, measurement, freight shortage and computation of the pr

23、oducts of each lot shall be specified otherwise.Article 8 Delivery and Shipment1. For each order confirmed by Party A, Party A shall deliver the goods within three (3) working days upon and from the receipt of all the pa
